BOOKING TERMS & CONDITIONS
1. Booking Confirmation
1.1 Confirmation. All bookings must be confirmed through a signed agreement, payment of the required deposit, or both, as specified in the applicable booking agreement.
1.2 Availability. All services are subject to crew, equipment, venue, platform, and production availability. PMG may reasonably modify production arrangements when necessary because of unforeseen circumstances, provided that PMG will make reasonable efforts to deliver substantially similar services.
2. Payment Terms
2.1 Deposit. Unless a different amount is stated in the booking agreement, a deposit equal to twenty-five percent (25%) of the total contract amount is required to confirm the booking.
2.2 Remaining Balance. Unless the Client has entered into an approved written payment plan, the remaining balance is due no later than five (5) calendar days before the scheduled event. Failure to make payment when due may result in the suspension or cancellation of services.
2.3 Payment Methods. Payments may be made through a QuickBooks invoice or another payment method approved by PMG.
2.4 Additional Charges. Charges not included in the original scope of services will be invoiced separately. Additional charges may include, without limitation:
-
Travel and lodging expenses;
-
Additional crew members or production time;
-
Overtime;
-
Specialty graphics;
-
Additional equipment;
-
Venue-related expenses;
-
Internet or connectivity services;
-
Downloadable video files; and
-
Other services requested by the Client.
2.5 Monthly Payment Plans. Monthly installments require an approved written payment schedule. Automatic card or ACH payments require separate authorization identifying the payment method, amount or calculation, frequency, and authorization period. Withdrawal of payment authorization does not cancel an otherwise valid payment obligation. A payment plan does not automatically renew an event booking or service agreement.
2.6 Processing Fees. A surcharge may be assessed only on eligible credit-card transactions, where permitted by applicable law and the applicable card network and processor rules. Any surcharge must be disclosed before payment, separately itemized on the receipt, and limited to the lowest applicable legal, network, processor, or cost-of-acceptance limit. Debit and prepaid cards will not be surcharged. PMG will complete any required processor or acquirer notification before implementing surcharges. Available payment alternatives and any permitted fees will be disclosed before authorization.
2.7 Declined Credit Card Fee. A fee of ten dollars ($10.00) may be assessed for a declined credit-card payment only where permitted by applicable law and the applicable network and processor agreement, and disclosed before payment authorization. No fee will be assessed for a processing failure caused by PMG or its payment system, and repeated automatic retries of the same failed payment will not generate repeated fees.
2.8 Returned ACH Fee. A fee of thirty-five dollars ($35.00), or a lower applicable legal or processor limit, may be assessed for a returned ACH payment attributable to the Client, where permitted and disclosed before authorization. A technical failure attributable to PMG or its payment system will not generate this fee. Repeated retries of the same failed payment will not generate repeated fees.
2.9 Late Payments. If a scheduled installment is not successfully received within five (5) calendar days of its due date, PMG may assess a late fee of twenty-five dollars ($25.00), to the extent permitted by law and disclosed in the agreement. The fee applies once to each overdue installment and is not compounded or repeatedly assessed on that installment.
2.10 Disputed, Cancelled, or Reversed Payments. The Client must notify PMG promptly of a disputed invoice or payment, identify the disputed amount, and explain the basis for the dispute. Undisputed amounts remain due. A reversed or charged-back payment does not discharge an underlying amount properly owed under the agreement. PMG may recover reasonable, documented collection costs and attorney fees to the extent authorized by this agreement and permitted by law. This provision does not waive nonwaivable payment-dispute rights or require payment for services for which a refund is properly due.
2.11 Suspension of Services. PMG may suspend or delay services for overdue undisputed amounts after written notice identifying the default and a reasonable opportunity to cure, taking account of the scheduled event date. If payment remains overdue at the pre-event payment deadline, PMG may withhold dispatch or cancel the affected services. Cancellation charges remain subject to Section 4. A good-faith dispute will be reviewed promptly. Repeated failed or cancelled payments may result in cancellation of services and may require full advance payment for future bookings.
PMG is not responsible for missed broadcasts, games, recordings, deliverables, or production opportunities resulting from the Client’s failure to make required payments.
3. Indexing, Storage, and Downloads
3.1 Indexing and Storage. PMG may index, process, archive, and store recorded games on PMG-controlled servers or approved third-party platforms for archival, production, promotional, distribution, and platform-management purposes.
The booking agreement must identify any promised replay or archive-access period and any included download rights. If no storage period is promised, storage and replay availability are discretionary and no minimum period is guaranteed. PMG does not guarantee permanent storage. Retention and deletion remain subject to applicable privacy requirements, legal preservation obligations, and any written retention commitment. A Client needing a permanent copy must arrange an authorized download while the recording remains available.
3.2 Downloads Not Included. Downloadable video files are not included unless specifically identified in the booking agreement.
If the Client requests downloadable files, the Client agrees to pay PMG’s then-current download, preparation, storage, transfer, and licensing fees in accordance with PMG’s Video Download Disclaimer and applicable rate schedule.
3.3 Limited License for Downloaded Content. Ownership of PMG-produced content is governed by Section 10, subject to third-party rights and any separate written rights agreement.
When PMG provides a downloadable file, the Client receives a limited, non-exclusive, non-transferable license to use the file solely for approved league-compliance, internal-review, archival, or promotional purposes.
The following activities are prohibited without PMG’s prior written authorization:
-
Selling or reselling the content;
-
Licensing or redistributing the content to third parties;
-
Commercially exploiting the content;
-
Removing PMG, National Soccer Network, or SportzNationTV branding;
-
Rebranding or materially modifying PMG-produced content;
-
Uploading full-game broadcasts to monetized or subscription-based third-party platforms;
-
Rebroadcasting the content through television, streaming, or digital media services; or
-
Using the content in a manner that suggests ownership by another production company.
The booking or download license must specify permitted users, uses, platforms, duration, and any branding obligations. PMG may suspend or terminate the license for material breach after written notice and a reasonable opportunity to cure, or immediately where required by law or necessary to prevent ongoing infringement. PMG retains its ownership and exploitation rights subject to Section 10 and any negotiated rights restrictions.
4. Cancellations and Rescheduling
4.1 Cancellation Policy. Cancellation and refund eligibility will be governed by the cancellation terms stated in the applicable booking agreement.
Unless otherwise stated in writing, deposits are non-refundable after PMG has reserved crew, equipment, production time, or platform resources for the event, subject to applicable law and Sections 4.5 and 5.5. The booking agreement should specify any cancellation charges by notice period. No additional percentage-based cancellation charge or automatic acceleration of the full remaining balance applies unless expressly stated in the signed agreement.
4.2 Nonrecoverable Expenses. The Client is responsible for any non-refundable or nonrecoverable expenses incurred by PMG before cancellation, including travel, lodging, contractor, equipment-rental, and platform-related expenses. Amounts retained from the deposit or other payments must be credited against the same cancellation costs; PMG will not recover the same loss twice. PMG will make reasonable efforts to mitigate losses and provide an itemized calculation of amounts retained or charged.
4.3 Rescheduling. Requests to reschedule must be submitted in writing as soon as reasonably possible. Rescheduling is subject to crew, equipment, venue, and platform availability and may result in additional fees.
4.4 No Guarantee of Replacement Date. PMG does not guarantee availability for a requested replacement date. If PMG is unavailable on the replacement date, the matter will be handled according to the cancellation provisions in the booking agreement.
4.5 Settlement Following Cancellation. Where no signed cancellation schedule applies, PMG may retain or recover amounts for services already performed, documented nonrecoverable commitments, and reasonable documented reservation losses, subject to applicable law, mitigation, and the prohibition on double recovery. Any prepaid balance exceeding amounts properly due will be refunded within thirty (30) calendar days after cancellation. A cancellation caused by PMG’s material failure is governed by Section 5.5; a force-majeure cancellation is governed by Section 9.
5. Services Provided
5.1 Production Services. PMG will provide the services identified in the applicable booking agreement. Services may include, without limitation:
-
Live streaming;
-
Video production;
-
Play-by-play commentary;
-
Color commentary;
-
Broadcast graphics;
-
Scoreboards and overlays;
-
Instant replay;
-
Interviews;
-
Highlight production;
-
Recording and archiving; and
-
Digital distribution.
5.2 Scope Changes. Any modification to the scope of services must be approved by PMG. Material changes may require an amended agreement and additional payment.
5.3 Production Decisions. PMG retains reasonable creative, technical, operational, and editorial control over the production unless otherwise stated in writing.
5.4 Production Method and AI-Assisted Services. The booking agreement must identify whether production uses staffed cameras, fixed cameras, automated or AI-assisted cameras, remote commentary, or a combination, and must identify included camera counts, commentary, graphics, replay, highlights, and recordings. Automated tracking can miss play, follow the wrong subject, or produce framing and identification errors. AI-generated captions, transcripts, statistics, or highlights may require correction. These limitations do not excuse PMG from providing the agreed services with reasonable care. Facial recognition, biometric identification, synthetic participant voices or likenesses, and use of Client-supplied participant data for general-purpose AI-model training are outside the booking scope and require a separate lawful authorization where applicable.
5.5 Material Service Failure. PMG will use reasonable care in providing the contracted services. If PMG materially fails to deliver an agreed service for reasons within its reasonable control, PMG will promptly notify the Client and offer a reasonable cure where practicable. If a cure is not practicable, the Client may choose an appropriate refund of the amount allocated to the undelivered portion or an agreed credit or replacement service. Where the agreement does not allocate separate prices, the parties will determine a reasonable allocation based on the scope and value of the affected service. Refunds will be issued within thirty (30) calendar days after the undelivered portion is determined. A failure of the principal live broadcast is not automatically cured by providing a recording. Minor interruptions do not automatically entitle the Client to a full-event refund. Sections 9 and 11 apply as appropriate.
5.6 Change Orders and Overtime. The booking agreement must identify the included production window, any overtime rate, and any authorized reimbursable expenses. Additional charges require approval by the Client’s designated representative before being incurred, except for emergency measures expressly authorized in the signed agreement. A change order must describe the change, price, and schedule impact. An electronic written approval is sufficient where permitted by Section 17.
6. Broadcast Destinations and Distribution
6.1 Authorized Destinations. The Client acknowledges and agrees that live broadcasts, recordings, highlights, promotional clips, and related content may be distributed, displayed, embedded, simulcast, rebroadcast, archived, or otherwise made available through one or more of the following authorized destinations:
-
National Soccer Network;
-
SportzNationTV;
-
PMG-owned or PMG-operated websites, applications, channels, and social-media accounts;
-
A website, streaming platform, application, social-media account, or digital channel owned or operated by the participating team;
-
A website, streaming platform, application, social-media account, or digital channel owned or operated by the participating league; or
-
Any other team-, league-, venue-, sponsor-, or event-approved site or platform authorized by PMG.
6.2 Platform Selection. Distribution rights are limited by the permissions actually granted to PMG, including any league exclusivity, territory, blackout, embargo, sponsor, accessibility, or permitted-use restrictions identified in the signed agreement. The Client must disclose these restrictions before booking. A material change to an expressly agreed exclusive destination or access model requires written agreement unless an emergency temporary alternative is necessary to maintain delivery and is permitted by the underlying rights.
PMG may select the primary broadcast destination based on the production agreement, event requirements, audience availability, platform capabilities, league rules, and technical considerations.
6.3 Simulcasting. PMG may simulcast or distribute the same production across multiple authorized destinations, including National Soccer Network, SportzNationTV, and approved team or league platforms.
6.4 Platform Requirements. Distribution through a team- or league-approved site is subject to the applicable platform’s technical requirements, content policies, account permissions, monetization rules, and availability.
6.5 Platform Changes. PMG may change or add an authorized distribution destination when reasonably necessary because of technical issues, platform outages, league requirements, audience-access considerations, or other production needs.
6.6 No Unauthorized Redistribution. The Client may not capture, rebroadcast, restream, mirror, distribute, publicly display, or provide the broadcast to an unauthorized website, application, television outlet, social-media account, or third-party platform without PMG’s prior written authorization.
7. Pay-Per-View Terms
The provisions of this Section apply only when an event is offered through a pay-per-view, subscription, ticketed-streaming, or other paid-access model.
7.1 PPV Availability. PMG may offer an event as a pay-per-view broadcast through National Soccer Network, SportzNationTV, an authorized team or league site, or another approved third-party distributor.
7.2 Revenue. PPV events may generate revenue through viewer purchases, subscriptions, access passes, or other paid-access arrangements.
Unless otherwise agreed in writing, all PPV revenue will be retained by PMG to help offset production, staffing, hosting, marketing, platform, payment-processing, and distribution expenses.
7.3 Revenue Sharing. Any revenue-sharing arrangement must be stated in a written agreement signed before the event. Unless otherwise specified, revenue sharing will be calculated from net proceeds after deductions for refunds, taxes, chargebacks, platform fees, transaction fees, marketing costs, and other direct distribution expenses expressly identified in the revenue-sharing agreement. That agreement must identify the revenue base, permitted deductions, treatment of subscription bundles, reporting frequency, payout deadline, and any verification rights. No additional category of deduction may be imposed without written agreement.
7.4 Pricing and Access. PMG will determine PPV pricing, access periods, promotional offers, package structures, and viewing restrictions unless otherwise agreed in writing.
7.5 Rights and Distribution. PMG retains the right to distribute, promote, advertise, archive, license, rebroadcast, and monetize the PPV production through any authorized destination described in Section 6.
7.6 Public Exhibition. The Client and viewers may not publicly exhibit, rebroadcast, duplicate, record, redistribute, or commercially display the PPV stream without PMG’s written authorization.
7.7 Technical Support. PMG will make reasonable efforts to maintain its production and streaming infrastructure. PMG is not responsible for interruptions caused by viewer devices, viewer internet connections, venue internet service, telecommunications providers, or third-party platform outages.
7.8 Post-Event Access. PMG may make the event available for replay or on-demand viewing following the live broadcast. The duration, price, platform, and availability of post-event access will be determined by PMG.
7.9 Viewer Terms and Remedies. These Client booking terms do not replace viewer purchase or subscription terms. PMG or the designated seller of record must separately disclose viewer pricing, access period, subscription renewal and cancellation where applicable, technical support, and refund remedies before purchase. The booking agreement must identify the seller of record and responsibility for viewer support, refunds, taxes, and chargebacks. A Client booking clause does not eliminate viewer rights under applicable law.
8. Client Responsibilities
8.1 Venue Access. The Client must provide PMG with timely access to the venue, production areas, press boxes, camera positions, power sources, internet connections, and other facilities reasonably required to perform the services.
8.2 Permissions. The Client is responsible for obtaining all venue, team, league, school, conference, governing-body, participant, and property permissions necessary for PMG to record and broadcast the event.
8.3 Internet Connectivity. When venue-provided internet is required, the Client must arrange for stable and adequate internet connectivity meeting the written production specifications supplied by PMG. The parties must identify responsibility for testing, wired access, required ports or permissions, power, and any backup connection included in the price. PMG is not responsible for disruptions caused by venue connectivity or network restrictions outside its control, but remains responsible for its own agreed testing, setup, and backup obligations. Known inadequacies must be reported promptly so the parties can agree on a contingency.
8.4 Accurate Information. The Client must provide accurate schedules, rosters, team names, logos, sponsor materials, venue information, pronunciation information, statistics, and other production materials by PMG’s requested deadline.
8.5 Copyright and Licensing. The Client is responsible for securing permission for any music, photographs, video, graphics, logos, advertisements, trademarks, scripts, or other materials supplied to PMG by the Client.
8.6 Compliance. The Client must comply with all applicable venue rules, league rules, platform policies, laws, licensing requirements, and broadcasting restrictions.
8.7 Participants, Minors, and Privacy. The Client must obtain and maintain applicable participant permissions and parent or guardian permissions where required, including any separate permission needed for interviews, individual promotional features, or commercial endorsements. Before production, the Client must identify filming restrictions, protected participants, safeguarding requirements, and any limitations on public display of participant information. PMG and the Client each remain responsible for their own applicable privacy, child-protection, and data-security obligations; the Client’s permission warranty does not transfer PMG’s statutory duties. Sensitive participant details, including home addresses, private contact details, and medical information, must not be supplied for public display. A separate privacy notice and any legally required parental consent process must govern online collection from children. PMG may restrict or remove content when reasonably necessary for safety, privacy, rights compliance, or applicable law.
8.8 Safety and Access Delays. PMG may pause or stop work where conditions present a reasonable safety risk, threaten equipment, or prevent lawful production. PMG will notify the Client promptly and seek a reasonable alternative. Client-caused access delays or unsafe conditions may generate documented additional costs approved or authorized under the agreement. Fault and refunds will be assessed under Sections 4, 5, and 9 rather than an automatic blanket forfeiture.
9. Force Majeure
PMG will not be liable for delay, interruption, modification, or failure to perform to the extent caused by circumstances beyond its reasonable control that it could not reasonably prevent or overcome.
Such circumstances may include natural disasters, severe weather, fire, flood, government action, civil disturbance, widespread power or telecommunications failure, venue closure, transportation interruption, a qualifying third-party platform outage, or cancellation or postponement of the underlying event outside PMG’s control. Ordinary equipment failures, foreseeable staffing shortages, and failures to perform agreed setup or maintenance obligations are not automatically force-majeure events.
The affected party must notify the other promptly, describe the expected impact, and make reasonable efforts to mitigate the interruption. The parties will first consider a lawful alternative production arrangement or mutually acceptable replacement date. Neither party is required to accept a replacement date or credit that materially changes the agreed service.
If the affected service cannot reasonably be performed or rescheduled by agreement, the parties may cancel that affected portion. PMG may retain amounts for services actually performed and documented nonrecoverable expenses properly incurred for that portion, without double recovery. Any prepaid amount exceeding those sums will be refunded within thirty (30) calendar days after cancellation. A different negotiated allocation of weather or event-cancellation risk must be expressly stated in the signed booking agreement.
10. Copyright and Ownership
10.1 PMG Ownership. Unless otherwise agreed in writing, PMG owns the original production elements it creates or for which it has acquired the necessary rights, subject to pre-existing and third-party rights, including:
-
Video recordings;
-
Audio recordings;
-
Commentary;
-
Graphics;
-
Broadcast overlays;
-
Animations;
-
Production files;
-
Edited programs;
-
Highlight packages;
-
Promotional clips; and
-
PMG, National Soccer Network, and SportzNationTV branding elements.
10.2 No Transfer of Ownership. Payment for production services does not transfer copyright or ownership of the resulting content to the Client.
10.3 Promotional Use. Subject to obtained permissions, applicable privacy and publicity rights, and written rights restrictions, PMG may use production excerpts, clips, still images, event names, and approved logos for its portfolio, demonstrations, social media, and promotion of the event and PMG’s services. This permission does not authorize a false endorsement or an individual participant’s commercial endorsement without the necessary separate permission.
10.4 Client and Third-Party Materials. The Client and other rights holders retain ownership of their pre-existing logos, trademarks, music, photographs, footage, and other supplied materials. The Client grants PMG a non-exclusive license to use Client-supplied materials only to the extent authorized and reasonably necessary to perform and distribute the agreed production and exercise permitted promotional rights. No provision grants PMG ownership of the underlying sporting event, venue, participant identity, or third-party media rights. Distribution and monetization remain subject to the rights actually obtained.
10.5 Sponsor Inventory. Sponsor placements, advertisement categories, exclusivity, approvals, supplied assets, and any restrictions on PMG-sold advertising must be identified in the booking agreement. General distribution permission does not override an expressly agreed sponsor conflict restriction. No audience, engagement, or sponsor-return guarantee applies unless expressly agreed in writing.
11. Limitation of Liability
11.1 Liability Cap. To the fullest extent permitted by applicable law, PMG’s total liability arising from a particular event or service will not exceed the amount actually paid to PMG for the specific services giving rise to the claim.
11.2 Excluded Damages. PMG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost revenue, lost profits, loss of audience, loss of sponsorship value, loss of data, or reputational harm.
11.3 Exceptions. The liability cap and damage exclusions do not apply to fraud, willful misconduct, gross negligence, or liabilities that cannot lawfully be limited. They do not eliminate refunds expressly due under Sections 4, 5, or 9, or the Client’s obligation to pay properly owed fees.
11.4 Technical Limitations. PMG does not guarantee uninterrupted streaming, a specific viewer count, a particular video quality on every viewer device, or continuous availability of any third-party platform.
12. Indemnification
To the extent caused by the Client’s breach, negligent acts, or wrongful conduct, the Client agrees to defend, indemnify, and hold harmless PMG and its owners, employees, contractors, broadcasters, affiliates, platforms, and representatives from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from:
-
Materials supplied by the Client;
-
The Client’s violation of copyright, trademark, privacy, publicity, or intellectual-property rights;
-
Defamation or inaccurate information supplied by the Client;
-
The Client’s unauthorized use or redistribution of PMG content;
-
The Client’s failure to obtain required permissions; or
-
The Client’s breach of the applicable agreement.
Indemnification does not apply to the extent a claim is caused by PMG’s breach, negligence, or wrongful conduct. PMG must notify the Client promptly of a covered claim and reasonably cooperate in its defense. The Client may control the defense with qualified counsel reasonably acceptable to PMG. No settlement may admit PMG’s fault, impose nonmonetary obligations on PMG, or fail to release PMG from the covered claim without PMG’s written consent, which will not be unreasonably withheld. Direct payment disputes are governed by Sections 2 and 13.
13. Dispute Resolution
13.1 Good-Faith Resolution. The parties agree to attempt to resolve disputes through good-faith discussions before commencing formal proceedings.
13.2 Mediation or Arbitration. Mediation or binding arbitration applies only if expressly agreed in a signed booking agreement identifying the procedure, administrator or rules, venue, allocation of fees, and any small-claims exception. These Terms alone do not require arbitration. Otherwise Section 15 governs court proceedings.
13.3 Collection Actions. Nothing in this section prevents PMG from pursuing payment collection, injunctive relief, intellectual-property protection, or another remedy that requires immediate action.
14. Amendments
14.1 Agreement Amendments. Changes to a signed booking agreement must be made in writing and approved by both PMG and the Client.
14.2 General Terms. PMG may update its standard Terms and Conditions from time to time. Updates will apply prospectively to future bookings unless the Client agrees in writing that an update applies to an existing agreement.
15. Governing Law
This Agreement will be governed by and interpreted in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.
Unless otherwise required by applicable law or an enforceable arbitration provision, any legal proceeding arising from this Agreement will be brought in a court of competent jurisdiction located in Macomb County, Michigan.
16. Severability and Entire Agreement
16.1 Severability. If any provision is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
16.2 Entire Agreement. These Terms and Conditions, together with the applicable signed booking agreement, expressly incorporated proposal, scope of work, payment schedule, identified policies supplied before acceptance, and signed amendments, constitute the entire agreement between the parties regarding the services.
16.3 Order of Precedence. In the event of conflict, the most recent mutually approved amendment controls, followed by specifically negotiated provisions in the signed booking agreement, the incorporated scope of work and payment schedule, these Terms, and then other expressly incorporated policies. An invoice or unaccepted proposal does not unilaterally modify a signed agreement.
17. Electronic Signatures, Notices, and Authority
17.1 Electronic Execution. The parties consent to electronic signatures, electronic counterparts, and electronic retention of the agreement to the extent permitted by law. Each party must have an opportunity to review and retain the complete agreement, including incorporated terms, before acceptance. The executed agreement must retain the accepted Terms version and applicable attachments.
17.2 Authorized Representatives. Each signer represents that they are authorized to bind the legal entity identified in the booking agreement. Signing for an entity does not itself create a personal guarantee. Any personal guarantee requires a separately stated and knowingly executed undertaking.
17.3 Notices. Each booking must identify the parties’ notice email addresses and designated representatives. Cancellation, rescheduling, breach, and change-order notices must be sent to those addresses or another address later designated in writing. Email notice is effective upon acknowledged receipt or, absent a delivery failure, the next business day after sending. Automated invoices and CRM status changes do not alone amend or terminate the agreement.
17.4 Continuing Provisions. Payment obligations properly accrued, ownership, applicable content-license restrictions, indemnification for covered claims, liability limitations, and dispute provisions survive completion or termination as necessary to give them effect. Survival does not extend an expired content license or override legally required deletion.
